A4 (210 × 297mm)
갑(이하 "갑"이라 한다)과 을(이하 "을"이라 한다)은 상호 신뢰와 호혜의 원칙에 따라 협력 관계를 구축하기 위하여 다음과 같이 양해각서(이하 "본 양해각서"라 한다)를 체결한다.
제1조 (목적) · Article 1 (Purpose)
본 양해각서는 다음을 목적으로 한다.

갑과 을은 다음 각 호의 분야에서 상호 협력한다.
The Parties will cooperate in the following areas:
제3조 (역할) · Article 3 (Roles and Responsibilities)
제4조 (실무 협의) · Article 4 (Working Group)
갑과 을은 본 양해각서의 원활한 이행을 위하여 각자 실무 담당자를 지정하고, 필요한 경우 실무협의회를 구성하여 세부 사항을 협의한다.
Each Party will designate a representative to facilitate the implementation of this MOU and, where necessary, the Parties will form a working group to discuss the details.
제5조 (비용) · Article 5 (Costs)
본 양해각서의 이행에 따라 발생하는 비용은 당사자 간 별도의 서면 합의가 없는 한 각자 부담한다.
Unless otherwise agreed in writing, each Party will bear its own costs and expenses incurred in connection with this MOU.
제6조 (지식재산권) · Article 6 (Intellectual Property)
본 양해각서 체결 이전부터 각 당사자가 보유한 지식재산권은 해당 당사자에게 귀속된다. 협력 과정에서 공동으로 창출된 지식재산권의 귀속 및 이용에 관하여는 당사자 간 별도의 계약으로 정한다.
Intellectual property owned by either Party prior to this MOU will remain the property of that Party. The ownership and use of any intellectual property jointly created in the course of the cooperation will be determined in a separate agreement between the Parties.
제7조 (비밀유지) · Article 7 (Confidentiality)
갑과 을은 본 양해각서와 관련하여 알게 된 상대방의 공개되지 않은 정보를 상대방의 사전 서면 동의 없이 제3자에게 누설하거나 본 양해각서의 목적 외의 용도로 사용하지 아니한다. 이 의무는 본 양해각서가 종료된 후에도 2년간 유지된다.
Each Party shall keep confidential any non-public information of the other Party obtained in connection with this MOU and shall not disclose it to any third party or use it for any purpose other than this MOU without the prior written consent of the other Party. This obligation shall survive for two (2) years after the expiration or termination of this MOU.
제8조 (비독점) · Article 8 (Non-Exclusivity)
본 양해각서는 비독점적이며, 어느 당사자도 본 양해각서를 이유로 제3자와 유사한 협력 관계를 맺는 것을 제한받지 아니한다.
This MOU is non-exclusive, and nothing in this MOU will restrict either Party from entering into similar arrangements with any third party.
제9조 (홍보 및 명칭 사용) · Article 9 (Publicity and Use of Names)
각 당사자는 상대방의 사전 서면 동의 없이 상대방의 상호·상표·로고를 사용하거나 본 양해각서의 체결 사실 및 내용을 대외에 공표하지 아니한다.
Neither Party will use the other Party's name, trademarks or logos, or make any public announcement regarding this MOU, without the prior written consent of the other Party.
제10조 (유효기간) · Article 10 (Term)
본 양해각서는 ____년 __월 __일부터 ____년 __월 __일까지 효력을 가진다. 다만, 기간 만료 1개월 전까지 어느 당사자도 서면으로 종료 의사를 통지하지 않으면 동일한 조건으로 1년씩 자동 연장된다.
This MOU shall be effective from __________, 20__ until __________, 20__. Unless either Party notifies the other Party in writing of its intention not to renew at least one (1) month prior to the expiration, this MOU will be automatically renewed for successive one (1) year periods on the same terms.
제11조 (해지) · Article 11 (Termination)
각 당사자는 상대방에게 1개월 전에 서면으로 통지함으로써 본 양해각서를 해지할 수 있다.
Either Party may terminate this MOU by giving the other Party one (1) month's prior written notice.
제12조 (법적 효력) · Article 12 (Legal Effect)
본 양해각서는 당사자 간 협력 의사를 확인하기 위한 것으로, 제7조(비밀유지) 및 제13조(준거법 및 관할)를 제외하고는 법적 구속력을 갖지 아니한다. 구체적인 권리·의무는 당사자 간 별도의 계약으로 정한다.
This MOU is an expression of the Parties' intention to cooperate and, except for Article 7 (Confidentiality) and Article 13 (Governing Law and Jurisdiction), shall not create any legally binding obligations. Specific rights and obligations will be set forth in separate definitive agreements.
제13조 (준거법 및 관할) · Article 13 (Governing Law and Jurisdiction)
본 양해각서는 대한민국 법률에 따라 해석된다. 본 양해각서와 관련하여 분쟁이 발생한 경우 당사자 간 협의로 해결하되, 협의가 이루어지지 않으면 서울중앙지방법원을 제1심 전속관할법원으로 한다.
This MOU shall be governed by and construed in accordance with the laws of the Republic of Korea. Any dispute arising out of or in connection with this MOU shall first be resolved through amicable consultation between the Parties, failing which the Seoul Central District Court shall have exclusive jurisdiction in the first instance.
제14조 (언어) · Article 14 (Language)
본 양해각서는 국문과 영문으로 작성하며, 두 언어본 사이에 해석상 차이가 있는 경우 국문본이 우선한다.
This MOU is executed in Korean and English. In the event of any discrepancy between the two versions, the Korean version shall prevail.
